Procedure for Change in registered office of a LLP within the same state: LLP Forms 15 and 3

Change of Registered Office of LLP within the same state and within the jurisdiction of the same registrar :-

As per LLP Agreement and where the Limited LLP doesn’t provide for such procedure, consent of all partners shall be required for changing the place of Registered Office of Limited LLP to another place. No consent is required from secured creditors.

The process of change of registered office of LLP within the same state and within the jurisdiction of the same registrar is as follows:

1)   Obtain consent of all the partners by holding a meeting and passing a resolution effecting the change in registered office.

2)   Prepare a supplementary LLP Agreement and include the change regarding the change in registered office.

3)   Inform Registrar of Companies by filing Form-15 (Notice of Change of place of registered address), within 30 days of resolution passed..

Attachments-

·        Consent of all partners.

·        Proof of Register office (Electricity bill or Rent agreement along with NOC).

4)   Further, file Form-3 (Information with regard to the LLP Agreement) along with the prescribed fee with the ROC.

5)   Once the approval is received from the ROC by filing the above forms, make all necessary changes in documents, stationery, signboards, letterheads and places where the registered office of the LLP is mentioned. No public notice is required in this case.

 

Change of Registered Office of LLP within the same state but from the jurisdiction of one Registrar to another :-

As per LLP Agreement and where the Limited LLP doesn’t provide for such procedure, consent of all partners shall be required for changing the place of Registered Office of Limited LLP to another place. No consent is required from secured creditors in this case too.

The process of change of registered office of LLP within the same state but from the jurisdiction of one Registrar to another is as follows:

1)   Obtain consent of all the partners by holding a meeting and passing a resolution effecting the change in registered office.

2)   Prepare a supplementary LLP Agreement and include the change regarding the change in registered office.

3)   Form- 15 to be filed with Registrar within 30 days of resolution passed from where the LLP proposes to shift its registered office with a copy thereof for the information to the Registrar under whose jurisdiction the registered office is proposed to be shifted.

4)   Further, file Form-3 (Information with regard to the LLP Agreement) along with the prescribed fee with the ROC.
