As per LLP Act, 2008, for any
change in constitution of LLP or change in partners terms we are need to file
two forms i.e., Form 4 LLP and Form 3 LLP.
Form 3 LLP: Information
with regard to Limited Liability Partnership Agreement and changes, if any,
made therein.
As per Rule 21 of LLP
Rules, 2009
(1) For the purposes of section
23(2), every limited liability partnership shall file information with regard
to the limited liability partnership agreement in Form 3 with the Registrar within
thirty days of the date of incorporation along with the fee as provided in
Annexure “A”.
Provided that any change
made in the limited liability partnership agreement shall be filed in Form
3 within thirty days of such change along with the fee as provided in
Annexure “A”.
Earlier we have to download the
form from MCA, but now the portal has changed. It has become web-based forms.
It is apparent from above that
Form 3 has two parts:
i.
Filing information with regard to initial LLP
Agreement
ii.
For information with regard to changes in LLP
Agreement

Attachments: All the
attachments shall be either in pdf or.jpg format. “The size of each individual
attachment can be up to 2MB”.

Initial LLP Agreement- This shall be mandatory
in case ‘Filing information with regard to initial agreement' is selected in
field number 1.
2.
Supplementary/ amended LLP agreement
containing changes- This field shall be enabled and mandatory in case 'For information
with regards to changes in LLP agreement' is selected in field number 1.
3.
Optional attachment(s)
